CPPGroup Plc Long Term Incentive Plan
On 25 April 2018, options over ordinary shares of 1 penny each in CPP ("Ordinary Shares") were awarded to the following Directors under the CPPGroup Plc Long Term Incentive Plan 2016 (the "Plan"):

No consideration was paid for the grant of the awards which are structured as nil cost options.
The vesting of an award is subject to the satisfaction of performance conditions set by the Remuneration Committee of the Company. The awards will normally vest following the third anniversary of the grant and the determination of the performance conditions, and will then normally remain exercisable until the day before the tenth anniversary of the date of the grant, provided the individual remains an employee or officer of the Company.
The total number of options awarded under the Plan to the above Directors and certain other senior employees on this date was 15,364,348.
TOTAL VOTING RIGHTS
In conformity with the Financial Conduct Authority's Disclosure and Transparency Rule 5.6.1(R), the Company would like to notify the market of the following.
As at 25 April 2018 the Company's capital consisted of 857,205,936 Ordinary Shares. All of these shares carry voting rights of one vote per share. The Company does not hold any shares in treasury.
The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
