COMPASS GROUP PLC (the "Company")TRANSACTION IN OWN SHARES

The Company announces that on 2 January 2024 it purchased, in accordance with the authority granted by shareholders at its 2023 Annual General Meeting held on 9 February 2023, a total of 92,600 of its ordinary shares of 11 1/20 pence each (the "Ordinary Shares"), through the Company's broker, BNP Paribas Financial Markets, as detailed below. The purchased Ordinary Shares will be held in treasury and are expected to be used to meet obligations arising from employee share schemes, or other allocations of Ordinary Shares, to employees or directors.

The purchases form part of the Company's market equivalent of $250 million (being £197.34 million as at 1 December 2023) share buyback announced on 4 December 2023, which is the initial stage of the Company's $500 million share buyback announced on 20 November 2023 to be completed in 2024 subject to M&A activity.

Following the above purchases, the Company holds 75,563,759 Ordinary Shares in treasury and has 1,709,840,218 Ordinary Shares in issue. Therefore, the total number of voting rights in the Company is 1,709,840,218 Ordinary Shares and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.

In accordance with Article 5(1)(b) of Regulation (EU) No 596/2014 (the Market Abuse Regulation) (as in force in the UK and as amended by the Market Abuse (Amendment) (EU Exit) Regulations 2019), the detailed breakdown of individual trades made by BNP Paribas Financial Markets on behalf of the Company as part of the share buyback programme is set out below.
