Recommended Offer for Thrane & Thrane A/S

Acceptance Condition Satisfied

Cobham announces that subsequent to the announcement of the Revised Offer for Thrane & Thrane on 3 May 2012 the Company has acquired a further 159,000 Thrane & Thrane shares representing 2.7 per cent of the fully diluted share capital of Thrane & Thrane. Cobham now owns or has received undertakings in respect of a total of 2,978,934 shares, representing 50.1 per cent of the fully diluted share capital of Thrane & Thrane.

Accordingly, Cobham announces that the acceptance condition as set out in paragraph 3.9 (i) of its Offer Document dated 19 April 2012, as amended by the Supplement to the Offer Document dated 3 May 2012, has been satisfied.

The Offer expires on 21 May 2012 unless extended in accordance with the Offer Document.
