General Meeting held on 2 July 2014
On 20 May 2014, Cobham plc ( the Company), announced that it and its wholly owned subsidiary, Army Acquisition Corp., had entered into a conditional agreement for the acquisition of Aeroflex Holding Corp. (the Acquisition).
Cobham plc is pleased to announce that at the General Meeting held today Wednesday 2 July 2014, at 9:30 am, the ordinary resolution to approve the Acquisition, as set out in the Notice of General Meeting contained in the circular sent to shareholders of 16 June 2014, was duly passed on a poll.
Completion of the Acquisition remains subject to, among other things, approval by the shareholders of Aeroflex and customary regulatory review processes. Completion of the Acquisition is expected to take place around September 2014.
The table below shows the votes received for and against the Resolution, representing a total of 81.44% of the total voting rights in the Company of as at the date of the general meeting:

Notes:
(1) Where shareholders appointed the chairman of the meeting as their proxy with discretion as to voting, these votes have been cast in favour of the resolution.
(2) A vote 'WITHHELD' is not a vote in law and is not counted in the calculation of the proportion of votes 'FOR' or 'AGAINST' a resolution.
