That, as at 30 April 2014, the Company's issued share capital consisted ofΒ 195,433,647 ordinaryΒ shares each with voting rights, and as at 30 April 2014 no shares are held in treasury by the Company.

The total number of voting rights in Communisis plc isΒ therefore 195,433,647 (the "Voting RightsΒ Figure").

The Voting Rights Figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their voting rights interest, or a change to that interest, in the Company under the FCA's Disclosure and Transparency Rules.
