NOTIFICATION OF TRANSACTIONS OF DIRECTORS AND PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES ("PDMRs")
In accordance with the UK Financial Conduct Authority's Disclosure Rules and Transparency Rules ("DTRs"), CMC announces that as of 11 February 2016 the Directors of the Company and Persons Discharging Managerial Responsibilities ("PDMRs") have the following interests in CMC's ordinary shares ("Shares"):

On 10 February 2016, as disclosed in the Prospectus, Simon Waugh, Manjit Wolstenholme and Malcolm McCaig, Non-Executive Directors of CMC, were issued and allotted ordinary shares in CMC at a price of £2.40 per share.
In addition to the interests set out above, effective as of 10 February 2016, Grant Foley, Chief Financial Officer and Head of Risk of CMC, and David Fineberg, Group Director of Trading of CMC, were granted awards over ordinary shares of CMC under the CMC Management Equity Plan 2015 ("Management Equity Plan"), as follows:

· The grant of awards under the Management Equity Plan was for nil consideration.
· The vesting of such awards is not subject to the satisfaction of a performance condition. These awards will vest as to half on each of the first and second anniversary of Admission.
This notification is made pursuant to DTR 3.1.4. CMC was notified of the above transactions on 11 February 2016.
