Deferred Bonus Plan (the "Plan") Vesting of Shares
Carillion plc announces the following changes in the interests of PDMRs in the ordinary shares of 50 pence each (the "Shares") in the Company.
Shares were transferred under the Plan on 10 April 2015 to PDMRs as set out below. In accordance with the Plan rules, the shares were held in trust for one year before being transferred.

Mr. Green sold 5,197 shares received under the Plan on 10 April 2015 at a price of £3.28653 per share in order to realise sufficient funds to settle resultant UK tax and social security liabilities arising from the transfer.
Messrs. Carter and Jones are not tax resident in the UK.
All other PDMRs will settle resultant UK tax and social security liabilities arising from the transfer from their own resources.
The total number of Carillion shares in which each of these PDMRs has an interest following these transactions are as follows:
