Board appointments and changes to Directors' responsibilities

Philip Green will be appointed as a non-executive director of the Company on 1 June 2011.

Philip Green, aged 57, was until recently Chief Executive of United Utilities Group PLC, the UK's largest listed water business. His earlier business experience includes serving as Chief Executive of Royal P&O Nedlloyd until its acquisition by AP Moller-Maersk A/S, as a director and Chief Operating Officer at Reuters Group PLC and as Chief Operating Officer at DHL for Europe and Africa.

Philip is currently a Director of Business in the Community and Chairman of the Trustees of Sentebale, a charity focusing on the needs of orphans and vulnerable children in Lesotho. On joining the Carillion Board, he will also serve as the Senior Independent Non-Executive Director.

David Garman, who has been a Non-Executive Director of the Company since 2004 and is currently the Senior Independent Non-Executive Director and Chairman of the Remuneration Committee, will be stepping down from the Board at the Company's Annual General Meeting on 4 May 2011.

Vanda Murray OBE, who has been a Non-Executive Director of the Company since 2005, will succeed David Garman as Chairman of the Remuneration Committee.
