Caledonia Investments plc
Notification of transactions of persons discharging managerial responsibilities ("PDMR") or persons closely associated with them ("PCA")
Caledonia Investments plc ("Caledonia" or the "Company") has been notified pursuant to the requirements of the Market Abuse Regulation of the following transactions in its ordinary shares of 5p ("Shares") involving two of its directors, Jamie Cayzer-Colvin and William Wyatt, and a person closely associated with Mr Wyatt.
On 14 June 2022, Shares, as noted in the table below, were transferred to the above-named directors under Caledonia's 2011 Performance Share Scheme ("Performance Share Scheme") and 2011 Deferred Bonus Plan ("Deferred Bonus Plan") at nil cost. All Shares were sourced from The Caledonia Investments plc Employee Share Trust ("EST"):

On the same date, Mr Wyatt sold 16,838 Shares to The Duncurch Lodge Stud Company ("Dunchurch Lodge"), a private company controlled by Mr Wyatt and persons connected with him. Also on the same date, Mr Cayzer-Colvin sold 11,379 Shares back to the EST. All Shares were sold at 3,565p per Share. Dunchurch Lodge purchased the Shares at 3,565.3p per Share.
Mr Wyatt's total interests in Shares following the above transactions are as follows:
Beneficial - 1,179,990 Shares* = 2.16%
Non-beneficial - 91,467 Shares = 0.17%
Performance share scheme awards - 113,798 Shares = 0.21%
Deferred bonus plan awards - 6,092 Shares = 0.01%
* includes 1,026,736 Shares owned by The Dunchurch Lodge Stud Company.
Mr Cayzer-Colvin's total interests in Shares following the above transactions are as follows:
Beneficial - 250,024 Shares = 0.46%
Non-beneficial - 203,384 Shares = 0.37%
Performance share scheme awards - 85,908 Shares = 0.16%
Deferred bonus plan awards - 9,097 Shares = 0.02%
