City of London Group plc ("City of London Group" or "the Company")
Result of General Meeting and Directors' Interest in Shares
The Company is pleased to announce that at the General Meeting of the Company held at 10.00 am today, the Resolutions set out in the Notice of General Meeting dated 1 April 2011 were all duly passed.
Application has been made for 7,233,015 New Ordinary Shares of 10 pence each in the capital of the Company to be issued pursuant to the placing and open offer and to be admitted to the Official List and to trading on the Main Market of the London Stock Exchange. Dealings in such shares are expected to commence at 8.00am on 28 April 2011.
In accordance with City of London Group's obligations under Listing Rule 9.6.2, copies of the resolutions passed have been submitted to the National Storage Mechanism and will shortly be available for viewing at www.hemscott.com/nsm.do.
As a result of the subscription for shares under the firm placing and open offer, the interests of the Directors (excluding any deferred share award entitlements arising under the Company's incentive plan) in 10p ordinary shares of City of London Group plc are as follows:
