Ceramic Fuel Cells Limited ACN 055 736 671 (ASX Code: CFU) - Notice under ASIC Class Order [CO 09/425] in relation to share purchase plan

Section 1

As announced on 4 December 2013, Ceramic Fuel Cells Limited ACN 055 736 671 (Company) is offering each eligible shareholder the opportunity to apply for up to $15,000 worth of fully paid new ordinary shares (Shares) in the capital of the Company at the issue price of $0.0384 per share under a share purchase plan (SPP). The offer of Shares under the SPP is open for acceptance from noon on 9 December 2013.

The Corporations Act 2001 (Cth) (Act) restricts the offer for sale of securities without a disclosure document unless the relevant sale satisfies an available exemption. The Company seeks to rely on the exemption available under ASIC Class Order [CO 09/425] "Share and Interest Purchase Plans" with respect to the offer of Shares under the SPP.

As at 9.00am on the date of this notice (being within the 24 hour period before the offer of Shares under the SPP), the Company gives notice in accordance with ASIC Class Order [CO 09/425] "Share and Interest Purchase Plans" that:

1. the Company will make offers to issue shares under a share purchase plan without disclosure to investors under Part 6D.2 of the Act;

2. this notice is being given in accordance with ASIC Class Order [CO 09/425];

3. as at the date of this notice, the Company has complied with the provisions of Chapter 2M of the Act as they apply to the Company and section 674 of the Act; and

4. to the extent to which it is reasonable for investors and their professional advisors to expect to find it in a disclosure document, Section 2 contains all information as at the date of this notice:

a. that has been excluded from a continuous disclosure notice to be given to the ASX in accordance with the ASX Listing Rules; and

b. that investors and their professional advisers would reasonably require for the purpose of making an informed assessment of:

i. the assets and liabilities, financial position and performance, profits and losses and prospects of the Company; or

ii. the rights and liabilities attaching to the Shares; and

5. Other than as set out in Section 2, there is no information as at the date of this notice:

a. that has been excluded from a continuous disclosure notice to be given to the ASX in accordance with the ASX Listing Rules; and

b. that investors and their professional advisers would reasonably require for the purpose of making an informed assessment of:

i. the assets and liabilities, financial position and performance, profits and losses and prospects of the Company; or

ii. the rights and liabilities attaching to the Shares.

Section 2 - INFORMATION EXCLUDED FROM CONTINUOUS DISCLOSURE NOTICES
