For the purposes ofΒ the Financial Services Authority's Disclosure and Transparency Rules, the total number of ordinary shares of 5pΒ eachΒ ofΒ TheΒ Character GroupΒ plcΒ in issue as at the date of this notice isΒ 45,496,937.
The Company holdsΒ 3,293,049Β ordinaryΒ shares in Treasury,Β which do not carry any voting rights.
Therefore, the total number ofΒ ordinary shares carryingΒ voting rights in Character Group isΒ 42,203,888.
The above figureΒ ofΒ 42,203,888Β may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest, or a change to their interest,Β in the Company under the Disclosure and Transparency Rules.Β
