Share Placing by Director

The Board announces that it has been notified that on Friday 13 September 2013 Mr. Richard King, the Company's Chairman, and the TOPS Pension Scheme in which Mr. King has a beneficial interest, sold in aggregate 1,500,000 Character Group ordinary shares of 5 pence each (the "Placing Shares"). The shares were placed with an institutional shareholder by Charles Stanley Securities at a price of 140 pence per Placing Share.

The Placing Shares represent approximately 6.51% of the Company's issued share capital (excluding shares held in treasury). Following the Placing, Mr. King retains an interest in 2,371,543 ordinary shares representing approximately 10.30 per cent of the Company's issued share capital (excluding shares held in treasury).
