Transaction in Shares by Directors

Charlemagne Capital Limited ("Charlemagne", the "Company"), announces that on 5 April 2012, the Company arranged for the Trustee of the Charlemagne Employee Benefit Trust to transfer 134,196 ordinary shares of US$0.01 in the Company to each of Jane Bates and Adrian Jones, who are both Directors of the Company, in satisfaction of nil cost share awards.

Following this transaction, Jane Bates has an interest in 159,196 ordinary shares, representing 0.06 per cent and Adrian Jones has an interest in 234,196 ordinary shares, representing 0.08 per cent of Charlemagne's issued share capital.
