Caza Oil & Gas, Inc.06 May 2008 CAZA OIL & GAS, INC. ("Caza" or the "Company") (TSX:CAZA)(AIM:CAZ) CHANGE OF SHAREHOLDING HOUSTON, TEXAS (May 6, 2008). The Board of Caza announces that it became awareon 3 May 2008 that Millennium Global Natural Resources Fund (the "Fund")purchased 3,118,500 common shares of Caza through the facilities of the TorontoStock Exchange on 30 April 2008. The 3,118,500 common shares purchased by theFund represent approximately 4.50% of the issued and outstanding common sharesof Caza. The Fund acquired these 3,118,500 shares at a price of Canadian $0.60per common share. The Board of Caza understands that, as a consequence of this acquisition ofcommon shares, the Fund now owns or exercises control over 7,700,000 commonshares of Caza, representing 11.11% of the current issued and outstanding commonshares of Caza. In addition Caza understands that the Fund also owns orexercises control over 2,000,000 warrants exercisable to purchase 2,200,000common shares of Caza.
