Caza Oil & Gas, Inc.07 May 2008 CAZA OIL & GAS, INC. ("Caza" or the "Company") (TSX:CAZ) (AIM:CAZA) CHANGE OF SHAREHOLDING HOUSTON, TEXAS (May 7, 2008). Following the announcement on May 6, 2008 relatingto the change of shareholding of Millennium Global Natural Resources FundLimited ("MGNR"), on May 6, 2008 the Company received formal notificationregarding this change of shareholding. Given that Caza understands that Millennium Global Special Situations AmericasFund Limited ("MGSSA") owns or exercises control over 10,675,000 common sharesof Caza and 4,000,000 warrants exercisable to purchase 4,400,000 common sharesof Caza, following such formal notification the Company understands that, as aconsequence of the change of shareholding of MGNR referred to above, MillenniumAsset Management Limited, the manager of MGNR and MGSSA, is interested in, inaggregate, 18,375,000 common shares of Caza and 6,000,000 warrants exercisableto purchase 6,600,000 common shares of Caza, representing approximately 32.9% ofthe total voting rights which would be attached to the common shares of Cazaassuming exercise of all such 6,000,000 warrants.
