NOTIFICATION OF TRANSACTIONS OF DIRECTORS AND PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES ("PDMRs")

LTIP awards granted to Richard Hayes and Darren Bryant

Card Factory announces that, on 1 April 2015, conditional awards over ordinary shares of 1p each in Card Factory plc have been granted to Richard Hayes, Chief Executive Officer of Card Factory, and Darren Bryant, Chief Financial Officer of Card Factory, under the Card Factory Long Term Incentive Plan ("LTIP") as follows:

The grant of awards under the LTIP was for nil consideration.

The vesting of such awards and the receipt of shares is subject to the satisfaction of a performance condition over the three financial years commencing 1 February 2015 a description of which will appear in the Directors' Remuneration Report in Card Factory's Annual Report and Accounts 2015. The shares will be subject to a holding period which will end two years after vesting.

The transaction took place in West Yorkshire. This notification is made pursuant to DTR 3.1.4 (1)(a). Card Factory was notified of the above transactions on 1 April 2015.
