Camellia PLC31 October 2005 Camellia Plc ("Camellia") Linton Park Plc ("Linton Park") 31 October 2005 Result of Linton Park Court Meeting and Results of Camellia ExtraordinaryGeneral Meeting The Independent Directors of Linton Park and the Board of Camellia are pleasedto announce that, at the Linton Park Court Meeting held earlier today, theIndependent Shareholders of Linton Park approved the proposal for Linton Park tobecome a wholly-owned subsidiary of Camellia to be implemented by means of ascheme of arrangement under section 425 of the Companies Act 1985 (the "Scheme"). At the Extraordinary General Meeting of Camellia's shareholders also heldearlier today, Camellia's shareholders passed (i) the ordinary resolutiongranting authority to Camellia's directors to allot up to 248,011 new ordinaryshares of 10 pence each in Camellia and (ii) the special resolution adopting newarticles of association of Camellia. The Camellia Directors intend to use thisauthority to allot the Camellia shares required to implement the Scheme. The Scheme remains conditional, inter alia, on (i) the Scheme being sanctionedby the Court and (ii) permission being granted for the shares in Camellia to beissued pursuant to the Scheme to be admitted to the Official List and to tradingon the London Stock Exchange's market for listed securities. Subject to theseconditions, the Scheme is expected to become effective on 17 November 2005.
