NOTIFICATION OF INTEREST PURSUANT TO DTR 3.1.2 OF THE DISCLOSURE AND TRANSPARENCY RULES

On 19 May 2015, Capital & Regional plc (the Company) received notification that MStead Limited acquired 200,000 ordinary shares in the Company on 18 May 2015 at a price of 56.5p per share.

Following this Mstead Limited owns 50,858,107 shares representing 7.258% of the issued share capital of the Company.

Louis Norval has a beneficial interest in Mstead Limited. Following this transaction Louis Norval has a beneficial interest in ordinary shares in the Company of 200,823,237 shares.
