DIRECTOR SHAREHOLDING

The Company has been notified of the following transactions in its ordinary shares of 1 pence each ("Shares") by Directors of the Company.

On 21 September 2017 Hugh Scott-Barrett, the Chairman of the Company, exercised, at nil cost, awards that were made on 14 August 2014 under the Company's 2008 Long Term Incentive Plan ("LTIP"). A part sale of Shares took place on 21 September 2017 at an average price of 55.80 pence per share in order to satisfy the tax liability crystallising as a result of exercise of the options. The total number of options exercised and revised shareholding following the transaction is shown in the table below:
