Update on Offer for Subscription

Following the announcement made on 1 October 2024 of an intention to fundraise by Baronsmead Venture Trust plc (the "Company"), the Board of the Company has discussed the size and structure of the proposed offer for subscription, which the Company intends to launch in conjunction with Baronsmead Second Venture Trust plc ("BSVT") (the "Offer"), with the Company's investment manager and the Board of BSVT. Having considered the deployment of funds over the past year and the current pipeline of investment opportunities, the Company and BSVT are seeking to raise £15 million each with the discretion to utilise an over-allotment facility of up to a further £10 million each.

The prospectus, which will contain the full details and terms and conditions of the Offer, will be available from www.baronsmeadvcts.co.uk as soon as the Offer is launched, which is expected to be at 9.00am on 13 January 2025. Further details with respect to the Offer will be announced in due course.
