Previously, the Company obtained such court approvalin 2002, which was not fully utilised. The application provides that pursuant to the programme the Company may, at itsoption, purchase Ordinary Shares in an aggregate amount in cash of up to £40million, to be implemented over a period of up to 18 months after the Companyobtains all necessary court or other approvals for the proposed repurchase.Alternatively, under the programme, the Company may utilize such amounts fordistribution of dividends to its shareholders.
