Employee Benefit Trust Share Purchase

The Company has been notified by RBC cees Trustee Limited, the trustees of the Brooks Macdonald Group Employee Benefit Trust (the "EBT"), that on 14 December 2018 the EBT completed the purchase of 52,632 ordinary shares of 1 pence each in the Company at a price of £15 per share.

These ordinary shares are to be held in the EBT and are intended to be used to satisfy current and future awards made under the Company's employee incentive and share option awards. The EBT is a discretionary trust for the benefit of the Company's employees, including the executive directors of the Company.

Following the purchase the EBT holds 278,335 ordinary shares representing 2% of the Company's total voting rights.
