As set out inthe circular to shareholders date 25 November 2014 the resolution were to makethe necessary amendments to the Company's articles of incorporation inconnection with the proposals for the Company to become tax resident in the UKfor the purposes of entering into the UK REIT regime and a related partytransaction in relation to Friends Life Limited's substantial shareholding inthe Company under the REIT regime. The Company expects to enter the UK REITregime with effect from 1 January 2015.
