Director/PDMR Shareholding and Holdings in Company

The Company has been notified that Marwyn Management Partners LP ("Marwyn") has transferred part of its holding of 10,000 B Shares in the Company's wholly owned subsidiary Marwyn Materials Investments Limited ("Marwyn Participation Shares") to certain of its partners. As a consequence of this transaction, Mr David Williams, a director of the Company, is now directly interested in 2,073 Marwyn Participation Shares.

The Marwyn Participation Shares, which were issued in 2008, may be exchanged, at the option of the holder, for ordinary shares of nil par value in the Company ("Ordinary Shares") or, at the Company's discretion, for cash.

The Company has also been notified that some of the holders of the Marwyn Participation Shares have exercised put options over their holdings of 2,620 Marwyn Participation Shares and it is it is expected that this will result in the Company issuing 12,346,584 Ordinary Shares.

Following the allotment, issue and admission of the new Ordinary Shares required to satisfy the above exchanges, together with the exchanges required to satisfy the put options in relation to Management Participation Shares as announced on 9 September, it is anticipated that the Company's total issued share capital will comprise 1,006,720,790 Ordinary Shares.
