Application for Listing
1. Consideration Shares
On 30 May 2012 bwin.party announced the acquisition of a number of assets from Velasco Services, Inc (the 'Assets') for a total consideration of up to $23m. Part of this consideration was deferred to the first and second anniversaries of the date on which the Assets were acquired. Consequently, in accordance with the terms of the acquisition, part of the consideration will be satisfied by the issue of 583,000 bwin.party ordinary shares of 0.015p each to Velasco Services, Inc.
An application has been made to the UK Listing Authority and to the London Stock Exchange for the listing of 583,000 ordinary shares of 0.015 pence each in the Company to be admitted to the Official List and trading on the London Stock Exchange.
These shares are issued and allotted to Velasco Services, Inc as consideration shares and will rank pari passu with the existing shares in issue.
Admission is expected to be effective on 12 June 2014.
2. Block Listing
An application has been made to the UK Listing Authority and to the London Stock Exchange for the block listing of 12,814,000 ordinary shares of 0.015 pence each in the Company to be admitted to the Official List and trading on the London Stock Exchange.
These shares will be issued and allotted to satisfy awards made under the following long-term incentive plans: bwin.party Global Share Plan (5,000,000 shares), bwin.party Bonus and Share Plan (5,000,000 shares) and Bonus Banking Plan (2,814,000 shares). These shares will rank pari passu with the existing shares in issue.
Admission is expected to be effective on 12 June 2014.
