Bank Pekao SA22 January 2008 UNOFFICIAL TRANSLATION (22 January, 2008) Report 21/2008: Submission of a claim to overrule the resolutions No. 4 of the Extraordinary Shareholders Meeting of the Bank dated April 27, 2007 on the integration of Bank Polska Kasa Opieki S.A. with Bank BPH S.A. performed in way of Bank BPH S.A. spin - off by transferring a part of Bank BPH S.A. property in a form of an organized part of enterprise to Bank Polska Kasa Opieki S.A. The management Board of Bank Polska Kasa Opieki S.A. ("Bank") informs that onJanuary 21, 2008, the Bank received a claim filled by the Bank's shareholder tooverrule the resolution No. 4 of the Extraordinary Shareholders Meeting of theBank dated April 27, 2007 on the integration of Bank with Bank BPH S.A.performed in way of Bank BPH S.A. spin - off by transferring a part of Bank BPHS.A. property in a form of an organized part of enterprise to Bank. In the Bank's opinion the entire claim is groundless.
