British Polythene Industries PLC (the "Company")

Transfer of Directors Holdings and Exercise of Options and Acquisition of Shares

The Company has been notified that on 1 March 2010 JT Langlands, a Director of the Company, transferred 101,464 Ordinary shares of 25 pence each in the Company ("Shares") into his spouse's name, Mrs ME Langlands. Immediately following this transaction, JT Langlands' total holding was 22,710 Shares and his current holding (including the exercised share options detailed below) is now 42,710. Mr JT Langlands' wife's total holding following this transaction is 126,132 Shares.

The Company has been notified that on 1 March 2010 Mr I McDarmaid, a Person Discharging Managerial Responsibility (PDMR) of the Company, transferred 122,050 Shares into his spouse's name, Mrs EA McDarmaid. As a result of this transaction, I McDarmaid's total direct holding was 12,197 Shares and his current holding (including the vested share options detailed below) is now 17,197. Mr I McDarmaid's wife's total holding following this transaction is 125,000 Shares.

The Company announces that on 2nd March 2010 Directors and PDMRs exercised options granted to them under the Company's Long Term Incentive Plan (LTIP) over Shares as follows

Notes:

(i) JT Langlands' total beneficial interest includes 126,132 shares held in his wife's name

(ii) D Duthie's total beneficial interest includes 22,191 shares held in his wife's name

(iii) D Pendlebury's total beneficial interest includes 19,500 shares held in his wife's name

(iv) I McDarmaid's total beneficial interest includes 125,000 shares held in his wife's name

All of the Shares acquired by each Director on the exercise of the options were registered in the name of the relevant Director.
