Following settlement of the below dealing, Globe Invest Ltd ("GIL") will hold 4,510,042 shares, representing 53.90% of the issued share capital of Best of the Best plc ("BOTB"). As GIL will own more than 50% of BOTB's issued share capital, the Mandatory Offer, when made, will be unconditional from the outset, as the Mandatory Offer Condition will already have been satisfied. When aggregated with the 1,736,025 BOTB Shares in respect of which GIL has received irrevocable undertakings to accept the Offer (as set out in detail in the Offer Announcement), GIL will be interested in, in aggregate, a total of 6,246,067 BOTB Shares, representing approximately 73.82% of BOTB's issued and to be issued share capital.
