BOARD APPOINTMENT

As referred to in the Chairman's Statement of the Preliminary Results for the year ended 31 December 2010 issued earlier today, Mr. Jonathan James Sykes BA, ACA, was appointed to the Board of Henry Boot PLC with effect from 22 March 2010 as a Non-executive Director.

James, aged 46, joined the London office of Saffery Champness, an independent Top 20 firm of Chartered Accountants, on leaving university in 1987, qualified in 1991 and became a Partner in 1997. He has extensive financial experience and he heads the firms Private Wealth Group which specialises in providing advice tailored for the financial and taxation needs of private clients and their families.

It is proposed that James will become Chairman of the Audit Committee of the Board and will also sit on its Remuneration Committee.

James holds no other directorships in any other publicly quoted company, nor has he held any such directorships in the last five years. There are no other matters which require disclosure pursuant to paragraph 9.6.13R of The Listing Rules.
