Result of placing of common shares in Boku Inc. ("Boku" or the "Company")
Further to the announcement made on 20 September 2018, the Sellers (as defined in that announcement) have sold 25,000,000 common shares of USD 0.0001 each in the Company (the "Shares") (the "Placing Shares") at a price of 160 pence per share (the "Placing"). The Placing Shares represent over 11% of the Company's issued share capital.
The Placing was conducted through an accelerated bookbuild. Peel Hunt LLP acted as sole bookrunner (the "Bookrunner") for the Sellers in connection with the Placing.
The proceeds of the Placing are payable in cash and will be settled on a T+5 basis (unless otherwise agreed), and settlement of the Placing is expected to occur on or about 28 September 2018.
The remaining Shares held by the Larger Selling Shareholders are now subject to a 180-day lock-up which is subject to certain customary exceptions and may otherwise only be waived with the consent of the Bookrunner. These shares represent approximately 21% of the Company's issued share capital. Shares that remain subject to the lock-up arrangements described in the Admission Document comprise approximately 31% of the Company's issued share capital.
The Company will not receive any proceeds from the Placing.
