NOTICE IS HEREBY GIVEN by Kildare Securities Limited (the Issuer) that pursuant to the terms of a deed of novation and amendment dated 4 April 2014 between, amongst others, the Issuer, the Trustee, ICS Building Society and the Governor and Company of the Bank of Ireland, ICS Building Society novated its role as Mortgage Manager to the Issuer to the Governor and Company of the Bank of Ireland and the Governor and Company of the Bank of Ireland agreed to assume the rights and obligations of ICS Building Society as Mortgage Manager under the Transaction Documents to which the Mortgage Manager is party (including the Mortgage Management Agreement) (the Mortgage Manager Substitution).
The Mortgage Manager Substitution is expressly permitted by and complies with the terms of the Mortgage Management Agreement.
ICS Building Society is a member of the Bank of Ireland Group.
Words and expressions defined in the master definitions schedule signed by the Issuer on 1 March 2007 (as amended and restated from time to time) have the same meaning when used in this Notice.
