Issue of Equity

Boston International Holdings plc, a special purpose acquisition company (SPAC) formed to undertake one or more acquisitions of target companies or businesses in the FX sector, is pleased to announce that certain investors of Cornhill Capital have invested £50,000 in the Company by directly subscribing for 1,000,000 new ordinary shares of £0.01 ("Ordinary Shares") at a price of 5 pence per share.

Accordingly, application has been made for the 1,000,000 new Ordinary Shares to be admitted to trading and it is expected that admission will take place on or around 7th May 2017.

The new Ordinary Shares will rank pari passu with the existing Ordinary Shares of the Company.

Warrants over 1,000,000 Ordinary Shares for a period of five years at the placing price will be granted to Cornhill Capital on settlement of the placing.

Total Voting Rights

Following Admission, the Company's enlarged issued share capital will comprise 30,620,948 Ordinary Shares with one voting right per Ordinary Share. No Ordinary Shares are held in Treasury. The total number of voting rights in the Company is therefore 30,620,948.

This figure of 30,620,948 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
