Further re: Issue of Shares
Further to its announcement of 4 June 2019, Be Heard (AIM: BHRD), confirms that the number of new ordinary shares in the capital of the Company to be issued under the terms of its various earnout arrangements required to satisfy the remaining liabilities under such arrangements is 206,048,214 (the "Consideration Shares").
Application has been made to the London Stock Exchange for the admission of the Consideration Shares to trading on AIM. Admission of the Consideration Shares is expected to take place on 5 July 2019 ("Admission"). The total shares in issue following Admission will be 1,246,826,584 Ordinary Shares. Following Admission, the Enlarged Share Capital will consist of 1,246,826,584 Ordinary Shares, each with one voting right. The Company does not hold any shares in treasury.
The above figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
