Begbies Traynor Group PLC18 March 2005 BEGBIES TRAYNOR GROUP PLC 18 March 2005 Directors' dealings Begbies Traynor Group plc ("Begbies Traynor" or "the Company") was notified on17 March 2005, that on 17 March 2005 the following ordinary shares of 5p each inthe Company were transferred by Ric Traynor, Andrew Dick and CS SecretariesLimited (a nominee company for Ric Traynor, Andrew Dick and Graham McInnes) toThe Begbies Traynor National Partnership (a firm controlled by Ric Traynor andAndrew Dick) and to Graham McInnes. The Begbies Traynor National Partnership and Graham McInnes are already thebeneficial owners of the shares (as was disclosed in the Prospectus dated 28September 2004 and issued in relation to the placing of the Company's shares on1 October 2004) and the transfers were effected merely to ensure that the sharesare registered in the correct names. In any event the control of these sharesremains the same (being with Ric Traynor and Andrew Dick as the two partners ofthe Begbies Traynor National Partnership and with Graham McInnes). The transfers were made for no consideration given that they were alreadybeneficially owned by the recipients. In accordance with the Placing Agreement (entered into between, amongst others,Ric Traynor, Andrew Dick and Teather and Greenwood Limited on 28 September2004), Teather and Greenwood Limited gave their prior written consent to thetransfers.
