Grant of options

Bagir (AIM: BAGR), a designer, creator and provider of innovative tailoring, announces that on 7 January 2016 it granted options to two of its directors as set out in the table below. These options were granted pursuant to the Company's 2013 Global Incentive Option Scheme adopted by the Company on 9 September 2013, further details of which are set out in the Company's admission document.

The options are over a total of 2,700,000 ordinary shares of NIS 0.04 in the capital of the Company (the "Options"). Further details of the Options granted to the Group's CFO, Udi Cohen, were contained in the Company's announcement on 30 November 2015. As stated in that announcement, the Options have an exercise price of the lower of the then mid-market price and the mid-market price at the time of grant.

The Options to be granted shall vest as to the first 500,000 on 31 October 2016, the next 500,000 on 31 October 2017 and the remaining 350,000 on 31 October 2018 and are exercisable from the date of vesting until the tenth anniversary of the date of grant.

The Group's remuneration committee had approved granting both Mr Itzhak and Mr Cohen a total of 1,500,000 options each (a total of 3,000,000) but they requested to waive the balancing 150,000 each (a total of 300,000) in order to allow these options to be granted to other key employees in the future. In addition, Mr Itzhak and Mr Cohen have also agreed to waive a further 21,500 and 35,750 options respectively from those granted to them in November 2013 in order that these will be returned to the option pool and can again be granted to other key employees.
