NOTIFICATION OF TRANSACTIONS OF PDMRs OR THEIR CONNECTED PERSONS
Notification made in accordance with Rule 3.1.4 (1) (a) of the Disclosure and Transparency Rules.
Conditional awards were made to the persons listed below on 14 June 2011 under the Babcock International Group PLC Performance Share Plan 2009 ("PSP") and Babcock International Group PLC Company Share Option Plan 2009 ("CSOP") in respect of 60p ordinary shares in Babcock International Group PLC. The awards under the PSP were made in the form of nil-cost options. The awards under the CSOP were in the form of options to acquire the shares at a market value of 690p (as calculated under the rules of the CSOP) on the date the option was granted. The awards will be exercisable (subject to the rules of the PSP and the CSOP) ordinarily between the 3rd and 4th anniversary of the grant, though this may be subject to extension.
The number of shares ultimately vesting under each award is (subject to the rules of the plans) dependent on performance against performance targets over a three-year period (1 April 2011 to 31 March 2014). Where a person is in receipt of both a PSP Award and a CSOP Award, the awards are linked such that the total number of shares over which the awards may be exercised cannot exceed that number of shares as on the award/grant date had a market value equal to the total number of shares covered by the awards less the exercise price payable under the CSOP award
