Directorate change

Babcock has been informed by its Chairman, Mike Turner CBE, that, following the introduction of the new UK Corporate Governance Code, relating to the duration of Chair appointments, he intends to step down as Chairman at the close of the Company's Annual General Meeting in July this year. The Board has accepted his decision with regret.

The Company's Senior Independent Director, Professor Sir David Omand GCB, will lead the Board's nominations committee in an orderly succession process. An announcement of a successor will be made to the market in due course.

Mike Turner said:

"It has been a great pleasure to be part of the Babcock team over the last twenty years since I first joined as a non-executive director. During that time, the Company has grown its market capitalisation from around £100 million to today's value and has increased its underlying earnings every year for the past decade.

"After such a long association with Babcock, including 10 years as Chair, it is with regret that I have decided the time has come to announce my intention to step down from the role of Chairman. However, I believe that a successful company is not only judged on its performance for its customers and the returns to its shareholders, but also by its commitment to good governance practice. Following the introduction of the new UK Corporate Governance Code in January 2019, I believe it is right for me to take this step now and to announce that I will step down at the end of the Company's next Annual General Meeting.

Mike Turner has not and will not receive any loss of office payments, nor will he be paid any further remuneration for his service as a director of the Company, other than fees due for his services up to the date he leaves.
