Completion of Second Subscription

Veltyco Group plc (AIM:VLTY), a marketing company for online gaming, lottery and binary option business, announces that it has completed the Second Subscription of Ordinary Shares, as defined in the Admission Document released on 9 June 2016. This Second Subscription is part of the re-admission process completed on 30 June 2016 and involves an amount of £219,747 (€285,672) for which the company will issue 878,991 new Ordinary Shares at 25p per Ordinary Share to DGS C.V., a member of the Concert Party. Furthermore 175,798 Warrants have been granted to DSG C.V. as part of the Second Subscription. As a result of the Second Subscription, DSG C.V. holds 4,284,614 Ordinary Shares representing 7.5 per cent. of the Company's issued share capital and Warrants over 816,922 Ordinary Shares.

Total voting rights

Application has been made for admission of the 878,991 new Ordinary Shares to trading on AIM ("Admission") and it is expected that Admission will occur on 5 September 2016.

Following Admission, the Company's issued share capital will comprise 56,938,260 Ordinary Shares. The Company does not hold any Ordinary Shares in treasury. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
