Atlas Mara Co-Nvest Limited

Total Voting Rights

Further to its announcement on 21 August 2014, the issued share capital of Atlas Mara Co-Nvest Limited ("Atlas Mara") was 44,572,739 ordinary shares. A further 27,277,274 ordinary shares have been issued in connection with the private placement announced in May 2014, bringing Atlas Mara's total number of ordinary shares to 71,850,013. Citigroup acted as the exclusive Placement Agent on behalf of Atlas Mara in connection with the private placement.

In accordance with rule 5.6.1 of the Financial Conduct Authority's Disclosure and Transparency Rules ("DTRs"), Atlas Mara hereby notifies the market that the total number of voting rights in Atlas Mara is 71,850,013.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in Atlas Mara under the DTRs.
