NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

The following announcement is made by WS Atkins plc (the "Company") in accordance with Disclosure and Transparency Rule 3.1.4R(1). This announcement replaces the announcement with RNS Number 4443I, released at 16:35 on 2 July 2013.

Mr. Heath Stewart Drewett, a director and a person discharging managerial responsibilities of WS Atkins plc (the "Company"), notified the Company on 2 July 2013, that on 1 July 2013 in London he acquired 9,364 ordinary shares of 0.5 pence each in the Company following the exercise of nil cost options made under the Atkins Deferred Share Plan. The share price at which Mr. Drewett exercised his shares was £10.14 per ordinary share. The acquisition of 9,364 shares equated to 0.0094% of the voting issued share capital.

Mr. Drewett's total interest in shares following this notification is 9,939 which equates to 0.0099% of the voting issued share capital.
