NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS
Admiral the Lord Boyce, a director of WS Atkins plc (the "Company"), notified the Company on 22 June 2012, that on that day in London he purchased 1,000 ordinary shares of 0.5 pence each in the Company at a price of £6.88780 per share. The shares are held by Lord Boyce directly. The acquisition of 1,000 shares equated to 0.001% of the voting issued share capital.
Lord Boyce's total interest in shares following this notification is 3,500 ordinary shares, representing 0.0035% of the voting issued share capital of WS Atkins plc.
