ATKINS SHARE INCENTIVE PLAN (the "Plan")
In accordance with Paragraph 3.1.2 of the Disclosure and Transparency Rules, WS Atkins plc (the "Company") was notified on 17 July 2012 that on 16 July 2012 the Trustees of the Plan purchased ordinary shares of 0.5 pence each in the Company at a price of £7.295350 per share on behalf of the directors and persons discharging managerial responsibilities, as set out below:
