Notification of transactions of persons discharging managerial responsibility
Grant of Awards under the Company's Performance Share Plan
On 23 February 2023 two of the Company's Executive Directors were granted conditional awards over ordinary shares of 1p each under the Ascential plc Executive Performance Share Plan (the "PSP") as noted below:

Subject to the terms of the PSP, the awards will ordinarily vest on the third anniversary of the grant of the awards subject to the grantee's continued service and to the extent to which Adjusted EPS and Digital Commerce Business Unit Revenue performance criteria are met over the three financial years to 31 December 2025. The shares will also be subject to a further two-year holding period whereby the Executive Directors will be restricted from selling the shares which vest other than to settle any associated tax.
The awards are in line with the Company's shareholder-approved remuneration policy and how Ascential has applied the policy since 2021. Having provided a detailed trading statement in January 2023, the awards have been granted in advance of what may be a potentially extended closed period arising from the implementation of the conclusions of the Company's strategic review as announced on 25 January 2023.
