Update on Separation Transaction

ARMS announces that it has been informed by the Bakrie Group that it has raised US$163m rather than the US$228m required to complete the Separation Transaction on its original terms. Therefore, a request has been made by the Bakrie Group to extend further the timetable to completion and for the Company to consider revising the terms of the transaction. These revisions would involve reducing the number of PT Bumi Resources Shares to be sold to a 25.4% interest in Bumi Resources (rather than the entire 29.2% interest which the Company currently holds) with a proportionate reduction in the consideration received by ARMS to US$436m, made up of US$50m already paid across to the Company, US$223m to be paid by Borneo to the Bakrie Group for the acquisition of 57.4m ARMS shares and the US$163m which the Bakrie Group has stated that it has now raised.

The independent committee of the board believes in principle that these revisions would not be material in the context of the Separation Transaction and therefore that the transaction, if such revised terms are agreed, would remain clearly in the best interests of shareholders. The independent committee intends to agree a further extension to the date by which certain conditions precedent to the Separation Transaction have to be satisfied to 26 February 2014 in order to allow time for these conditions precedent to be satisfied, for the possible revised terms to be considered in further detail and agreed and for these revised terms to be discussed with the UK Takeover Panel and the UK Listing Authority. This extension is subject only to the formal exchange of documentation to confirm it, which is expected to take place later today. A further announcement will be made if this documentation is not exchanged. A further announcement will also be made in due course if revised terms are agreed.
