Asia Resource Minerals plc ("ARMS" or the "Company")

Termination of Open Offer

Further to its announcement of 9 June 2015 regarding the notice of termination of the Subscription Agreement received from NR Holdings, the Company has reviewed and accepted this notice.

As set out in the prospectus dated 31 March 2015 relating to the Open Offer (the "Prospectus"), the Open Offer was conditional on the Subscription Agreement having not been terminated prior to the satisfaction of the Notes Exchange Condition.

As this condition is no longer capable of fulfilment, the Open Offer has accordingly been revoked and the adjourned General Meeting in relation to the Open Offer has been cancelled. It is expected that payments made for the Open Offer Shares will be returned to shareholders within 14 days.

As set out in its announcement earlier today, a separate general meeting in relation to certain arrangements relating to the cash offer by Asia Coal Energy Ventures Limited will be held immediately following the conclusion of the Company's Annual General Meeting on 29 June 2015.

Unless otherwise defined, the terms used in this announcement shall have the same meaning as set out in the Prospectus.
