SMC Group Plc03 January 2007 SMC Group Plc (the "Company") Total Voting Rights In conformity with the Transparency Directive's transitional provision 6, theCompany would like to notify the market of the following: As at 31 December 2006, the Company's capital consists of 46,066,879 (ordinaryshares) with voting rights. No ordinary shares are held in treasury. Therefore the total number of Ordinary Shares in the Company with voting rightsis 46,066,879. The above figure of 46,066,879 (ordinary shares) may be used by shareholders asthe denominator for the calculations by which they will determine if they arerequired to notify their interest in, or a change to their interest in, theCompany under the FSA's Disclosure and Transparency Rules.
