Arlington Group PLC13 January 2005 Arlington Group PLC ("the Company") Scheme of Arrangement Pursuant to the circular posted to shareholders on 29 November 2004, the Boardof Arlington Group plc is pleased to announce that, at a hearing today, the HighCourt of Justice in England and Wales (the "High Court") sanctioned the proposedscheme of arrangement of the Company under section 425 of the Companies Act 1985(the "Scheme") to introduce a new Bermudian holding company, Arlington GroupLimited. Under the terms of the Scheme, all existing Arlington Group plc ordinary shareswill be cancelled and shareholders will receive one Arlington Group Limitedordinary share for each existing Arlington Group plc ordinary share held at theScheme record time (which is expected to be 5p.m. on 28 January 2005). The Scheme is expected to become effective on 28 January 2005, once the Order ofthe High Court is filed with the Registrar of Companies. The Arlington GroupLimited ordinary shares are expected to be admitted to trading on AIM at 8.00amon 31 January 2005.
