Notification of transactions of directors ARC International plc ("the Company") On 26 February 2004 the Company awarded Carl Schlachte, Chief Executive Officer,1,500,000 restricted Ordinary Shares subject to certain performance criteria. The performance criteria in relation to the third tranche of those restrictedOrdinary Shares outlined above has now been met and accordingly the Company hasreleased 375,000 Ordinary Shares to Carl Schlachte. A notice has today been received that Carl Schlachte has today sold 375,000Ordinary Shares, representing 0.249% of the issued share capital, at a price of30p.
