b) | Nature of the transaction | As notified to the Company in a PDMR notification on 30 October 2020, on 27 October 2020, Yew Tree gave an irrevocable undertaking to subscribe for shares in the placing of the Company announced on 27 October 2020 (the "Placing"). As set out in the announcement, the Placing was subject to shareholder approval and the satisfaction of certain other conditions. On 9 November 2020, Yew Tree agreed, subject to completion of the Placing, to syndicate some of the shares for which it has agreed to subscribe under the Placing to other members of the consortium of shareholders in the Company led by Yew Tree (the "Syndication Transfers"). The Syndication Transfers are further described in the announcement of the Placing published by the Company on 27 October 2020. b) | Nature of the transaction | On 9 November 2020, Saint James agreed to acquire 1,240,784 ordinary shares in the capital of the Company from Yew Tree Overseas Limited as part of a syndication which is conditional on completion of the placing of the Company announced on 27 October 2020 (the "Placing"). The syndication of which this transaction forms part is further described in the announcement of the Placing published by the Company on 27 October 2020 and completed on 9 December 2020. In addition, Saint James has subscribed for a number of warrants for shares in the Company.
